1. Agreement to These Terms

The Digital Diplomat LLC, doing business as At the Desk Advisory (“Company,” “At the Desk,” “we,” “us,” or “our”), provides advisory services, consulting, executive coaching, educational programming, digital memberships, speaking engagements, and related strategic resources.

These Terms of Use (“Terms”) govern your access to and use of our website, https://atthedeskadvisory.com/ (the “Website”), and all products, programs, content, and services we offer (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Services.

2. Who We Are

At the Desk Advisory is the practice of Dr. W.E. Da'Cruz, providing high-impact private advisory, executive education, and strategic counsel to leaders and organizations, including in regulated and emerging markets.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate and current.

4. Advisory Engagements and Scheduling

Advisory sessions, pre advisory calls, and other engagements are booked through our scheduling and booking systems. Confirmed appointments are subject to these Terms and to any separate engagement agreement or statement of work we provide.

Where a separately executed engagement agreement, statement of work, or Non-Disclosure Agreement conflicts with these Terms, the terms of that separate agreement control for that engagement.

5. Fees, Payments, and Billing

Fees for advisory services, retainers, memberships, digital products, and speaking engagements are described at the point of purchase or in your engagement agreement. By purchasing, you authorize us and our third-party payment processors to charge the applicable fees.

Recurring plans, such as monthly retainer payments, continue until completed or cancelled in accordance with the applicable plan or agreement. You are responsible for all fees associated with your engagement, including any applicable taxes.

Payments are processed by reputable third-party payment processors using industry-standard encryption. We do not store full payment card numbers on our servers.

6. Refunds and Cancellations

Because our Services are time-based and delivered personally, fees are generally non-refundable once a session, engagement, or billing period has begun, except as required by law or as expressly stated in your engagement agreement.

Rescheduling and cancellation of individual sessions are subject to the notice terms provided at booking or in your engagement agreement. Missed appointments without adequate notice may be forfeited.

7. Memberships and the Digital Residency Platform

Certain Services include access to membership areas or the Digital Residency platform and its resources, templates, and materials. Access is personal to you, non-transferable, and granted for the duration of your active engagement or membership.

You may not share, resell, or redistribute membership access or materials. We may modify, suspend, or discontinue membership features, and we may revoke access for conduct that violates these Terms.

8. Speaking Engagements

Speaking engagements are governed by these Terms together with the specific proposal, agreement, or invoice for the engagement, which set out scope, fees, travel, and scheduling. Where those documents conflict with these Terms, the engagement documents control for that engagement.

9. Intellectual Property

All content, frameworks, and materials made available through the Services, including the Triangular Trade of Transactions and other original scholarship, along with text, graphics, logos, course materials, templates, and recordings, are owned by or licensed to The Digital Diplomat LLC and are protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials solely for your own internal, non-commercial use in connection with your engagement. You may not copy, reproduce, distribute, publish, resell, or create derivative works from our materials without our prior written consent.

10. Acceptable Use

You agree not to use the Services to violate any law, infringe the rights of others, transmit harmful or unlawful content, attempt to gain unauthorized access to our systems, or interfere with the operation or security of the Services. We may suspend or terminate access for conduct that we reasonably believe violates these Terms.

11. Confidentiality

We treat information shared within the scope of an engagement as confidential and use it solely to deliver the Services. Unless governed by a separately executed Non-Disclosure Agreement, information shared through digital channels is protected by reasonable safeguards but is not guaranteed absolute confidentiality. You agree to keep confidential any non-public materials, methods, or frameworks we share with you.

12. No Professional Advice; No Guarantees

At the Desk Advisory provides strategic advisory and educational services. We are not acting as your legal counsel, licensed financial advisor, investment advisor, tax professional, or certified public accountant unless expressly stated in a written agreement.

Our Services are provided for informational and strategic purposes and do not constitute legal, financial, tax, or investment advice. You are responsible for your own decisions and for independent verification of legal, financial, regulatory, and tax matters. We make no guarantee of any particular result, outcome, or return.

13. Testimonials and Recorded Content

By participating in recorded webinars, advisory sessions, live events, or by submitting testimonials, you grant The Digital Diplomat LLC the rights described in our Privacy Policy to record, reproduce, edit, publish, distribute, and display your name, likeness, voice, professional title, and submitted content for promotional and educational purposes. Participation is voluntary, and no compensation is owed unless contractually agreed.

14. Third-Party Links, Tools, and Integrations

The Services may link to or integrate third-party platforms, including scheduling systems, payment processors, membership tools, and media providers. We do not control these third parties and are not responsible for their content, practices, or availability. Your use of third-party services is governed by their own terms and policies.

15. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

16. Limitation of Liability

To the fullest extent permitted by law, The Digital Diplomat LLC and Dr. W.E. Da'Cruz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid to us for the specific Service giving rise to the claim in the twelve months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless The Digital Diplomat LLC, its officers, and Dr. W.E. Da'Cruz from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

18. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Subject to Section 19, you agree that any dispute will be brought exclusively in the state or federal courts located in Michigan.

19. Dispute Resolution

Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute informally by contacting us at the email below. If a dispute cannot be resolved informally, it will be handled in accordance with the governing law and venue set out in Section 18, or through binding arbitration if the parties agree in writing.

20. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated Effective Date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
